A Blockbuster Gaming Deal
Represented a world leader in memory products and technology solutions in the $425 million sale of a gaming division to a major global technology company.
A High-Stakes Win
Successfully defended a global technology company in a high-profile consolidated securities class action and a putative stockholder class action in federal and state courts against claims of securities fraud and breaches of fiduciary duty related to the announcement of a contemplated $765-million loan from the U.S. International Development Finance Corporation to support the launch of the company’s pharmaceutical manufacturing business. Both cases were dismissed in full with prejudice at the threshold motion to dismiss stage.
Powering the Energy Transition
Represented a private equity infrastructure fund in connection with a $1.3-billion financing package, including a $460-million loan, $300-million tax equity bridge loan and $250 million in ancillary facilities, for the 682.5-MW Faraday Solar project in Utah County, Utah.
Music to One’s Ears
Represented a leading global investment firm in connection with a multi tranche, first-in last-out term facility to an independent rights management and music publishing company.

Represented the lender in a $100-million credit facility with a television and media production company.
A Novel Cryptocurrency Matter
Secured a successful result for our client, co-founder of one of the world’s largest cryptocurrency derivatives trading platforms, following alleged Bank Secrecy Act violations. Although up against an untested regulatory framework application, we scored win after win for our client in numerous evidentiary motions. The team of litigators then continued their streak by arguing vigorously for a more favorable sentencing—and prevailed.
Financing the Future of Hollywood
Advised a global investment firm in its investment in a LatinX film and television producer and their slate of films.
